Company Profile
WorkPlace Systems was founded in 1986 in Milton Keynes by Ian Lenagan and Tim Westaway to develop, sell and implement standard solutions in the newly-emerging markets for Workforce Management software. Selling via GEC Reliance initially, WorkPlace quickly became UK market-leader in Time and Attendance and Work Tracking selling to the Top 100 companies such as Heinz, Motorola, Plessey, BT, Marconi, Ferranti and London Underground.
Principles of operation included heavy investment in R&D (at least 40% of staff), a focus on building recurring revenue, complete self-financing with no loans, overdrafts or venture capital, good project management and continual product development into the latest technical architecture (4GL, Oracle, Java, .NET) to provide the right upgrade path for existing and new customers.
In the 16 years from 1986 to 2001 WorkPlace was profitable every year, growing both revenue and profit by at least 10% including international implementations in the US at Boeing, Detroit Edison, Department of Defence and Lockheed Martin, at Kuwait Airways, Bahrain Oil Company, Quatar Fertilizer, Papau New Guinea Telecom, Sea Lord New Zealand and others. Over this period, WorkPlace developed specialist staff scheduling and resource planning modules for the manufacturing, utility, telecom and rail markets and acquired Care Interactive Software in 1988 to extend into the retail scheduling market then Insight Logistics (2000) and Solus (2001) for continuous manufacturing and aviation workforce scheduling products respectively.
In August 2000, WorkPlace listed on the main market of the London Stock Exchange under the name TeleWork Systems plc to reflect the additional software company founded by Ian Lenagan in 1991 - TeleWare - which developed and sold computer telephony software products. With the decline in the telecoms sector in 2002/03 and in order to focus solely on the Workforce Management market, TeleWare was sold off to its management in 2003 and the public company name was changed to WorkPlace Systems International plc.
WorkPlace Systems International plc is the public company listed on the London Stock Exchange in August 2000 (Ticker:WSI) and previously known as TeleWork Systems plc.

The principal activity of WorkPlace is the development, supply and implementation of high-value standard software products for workforce management.

Ian F Lenagan, Chairman (65)
Ian founded WorkPlace Systems plc in 1986. He has more than 25 years experience in the computer software business. Prior to founding WorkPlace, he worked for Burroughs Corporation (now Unisys) for 10 years and was then Managing Director of Ring Electrical Limited, Banbury Homes & Gardens Limited and Digico Limited over a period of a further 7 years. He holds a BSc in Mathematics from Manchester University and an MSc in Magnetohydrodynamics from Liverpool University.
Bernard Quinn, Chief Executive (58)
Barney has over 30 years experience in application software IT companies including in North America. For 13 years Barney was a Main Board Director of Sherwood International plc, a provider of software and services to the insurance industry. Barney set up and ran for three years the Sherwood North American operation. Latterly, Barney became Director of Worldwide Operations/Chief Operating Officer of Sherwood from 2001 to 2004.
Paul Wright, Finance Director (54)
Since qualifying with KPMG in London, Paul has worked as Finance Director of a number of quoted and privately owned companies including 10 years as the Group Finance Director of three technology organizations: Vocalis Group plc, CWB Systems Services plc and Rolfe & Nolan plc. Most recently he was Finance Director of the AIM listed leisure group, Sports Cafe Holdings plc. Paul joined the Board of WorkPlace Systems in September 2008.
Ian Mills, Design Director (47)
Ian joined WorkPlace in 1988 and has been responsible for the design and development of all WorkPlace software products since 1993. He holds a first-class honours degree in Computer Science and worked for two years for EDS prior to joining WorkPlace.
Nigel Garrett, Sales Director (48)
Nigel joined WorkPlace in 1993 and has been responsible since 1998 for the sales and marketing of WorkPlace products in the UK and Internationally. He graduated with a BSc in Mechanical Engineering in 1985 and gained an MBA in 1992.
Alex Davis, Chief Technology Officer (53)
Alex joined WorkPlace in 2009. He has worked in a variety of roles developing and deploying application software over the past 30 years. He spent 14 years with Sherwood International plc, 7 of these in the role of Development Director. He worked on multi-national applications for New York Life International. Most recently he was Programme Director at Equifax.
Tony Knight, Client Services Director (55)
Tony has over 30 years experience within the IT industry in which time he has held director level positions within both quoted and privately held companies within the disciplines of sales, marketing, client services and operations. For 6 years, Tony was Managing Director of TeleWare plc, a provider of software and services within the communications market. Tony joined Workplace Systems in July 2006 as Director of Client Services.
John Herring, Non-Executive Director (53)
John has acted in an advisory capacity to the Group since December 1999 and was appointed a Non-Executive Director in June 2000. He qualified as a chartered accountant with Touche Ross & Co in 1982 and subsequently joined Dresdner Kleinwort Benson, becoming a director in 1992. From 1996 to 2001 he was Managing Director of GdeZ Capital, a corporate advisory and venture capital Company. He is presently a Non-Executive Director of J D Wetherspoon plc and a number of private companies. He is a member of both the Audit and Remuneration Committees.
Committees, Responsibilities and Members
Responsibilities of the Audit committee
The Audit Committee meets with internal and external auditors to review internal documentation, financial controls, the audit process and financial reports. The committee is responsible for the appointment of external auditors and the acceptance of audited results. The committee is also responsible for ensuring any information supplied to shareholders is a balanced assessment of the Company's position.

Responsibilities of the Remuneration committee
The Company has established a Remuneration Committee chaired by Non-Executive Director, Mr J A Herring. No Director acting as a member of the Committee has any involvement in matters in which they have a personal financial interest (other than as shareholders).
